These Terms of Use and Disclaimer (“Terms”) govern your access to and use of the website customclosetskw.ca (the “Site”), operated by Custom Closets Kitchener Waterloo (“we,” “our,” or “us”). By accessing, browsing, or using the Site in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

TO THE MAXIMUM EXTENT PERMITTED BY THE LAWS OF THE PROVINCE OF ONTARIO AND THE FEDERAL LAWS OF CANADA APPLICABLE THEREIN, IN NO EVENT SHALL CUSTOM CLOSETS KITCHENER WATERLOO, ITS OWNERS, OPERATORS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS (COLLECTIVELY, THE “RELEASED PARTIES”) BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH:

  • Your access to, use of, or inability to use the Site or any content thereon.
  • Any errors, omissions, inaccuracies, or outdated information in the content.
  • Any decisions made or actions taken by you in reliance on the content of the Site.

Upon termination, all rights and licences granted to you under these Terms shall immediately cease. The provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 3, 4, 5, 6, 9, 13, and 14.

We are committed to making the Site accessible to all users, in compliance with the Accessibility for Ontarians with Disabilities Act, 2005 (AODA) and the Integrated Accessibility Standards Regulation (Ontario Regulation 191/11). 13. Governing Law and Jurisdiction

These Terms and any dispute arising out of or in connection with the Site shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts of the Province of Ontario, located in the Regional Municipality of Waterloo, for the resolution of any dispute arising out of or in connection with these Terms or the Site.

14. Dispute Resolution

Before commencing any formal legal proceedings, you agree to first attempt to resolve any dispute with us informally by contacting us at contact@customclosetskw.ca. If the dispute is not resolved within thirty (30) calendar days of your initial written notice, either party may proceed with formal legal proceedings in accordance with Section 13.

15. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Custom Closets Kitchener Waterloo with respect to the use of the Site and supersede all prior or contemporaneous agreements, understandings, representations, and warranties, whether written or oral, regarding the Site.

17. Waiver

No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

18. Force Majeure

We shall not be liable for any failure or delay in the performance of our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, riots, embargoes, acts of civil or military authority, fire, flood, accident, strikes, or shortage of transportation, facilities, fuel, energy, labour, or materials.

19. Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms, in whole or in part, at any time without notice or your consent, including in connection with a merger, acquisition, corporate restructuring, or sale of assets.
